Terms & Conditions for Freelance Cloud & DevOps Automation Services

Effective Date: 2024

These Terms & Conditions (“Terms”) govern your access to and use of our services. By engaging our services, you agree to be bound by these Terms. If you do not agree, please, do not try to contract our services.

1. Overview of Services

We offer the following freelance services:

  • Cloud Infrastructure Services: Infrastructure as Code (IaC) on major cloud providers (e.g., AWS, Azure, Google Cloud).
  • DevOps Automation: Software integration via images and pipelines for DevOps environments, leveraging containerization and CICD.
  • Cloud Accounts & Linux-based Systems Administration: Management and administration of cloud accounts and Linux-based systems.

2. Service Delivery

  • Remote Services: All services are primarily provided remotely. Communication and collaboration will occur through digital means, including email, video conferencing, and collaboration platforms like Google meet or Microsoft Teams.
  • On-Site Visits: Optional on-site visits are available on a monthly basis if necessary. On-site visits are limited to the EMEA (Europe, Middle East, and Africa) and MENA (Middle East and North Africa) regions and must be agreed upon in advance. Additional costs, such as travel and accommodation, will be discussed and agreed upon prior to any visit.

3. Client Responsibilities

  • Provision of Information: The client must provide all necessary information, access credentials, and permissions required to perform the services effectively.
  • Timely Feedback: The client is expected to provide timely feedback and approvals to avoid delays in project timelines.
  • Confidentiality: The client is responsible for maintaining the confidentiality of their systems and any sensitive information shared during the course of the project.

4. Payment Terms

  • Rates & Invoicing: Service rates will be outlined in the individual service contract. Invoices will be issued upon completion of milestones or maximun on a monthly basis, depending on the project.
  • Payment Methods: Payments can be made via bank transfer, PayPal, or other agreed-upon methods.
  • Late Payments: Payments not received within the agreed-upon time frame will be subject to a late fee, which will be detailed in the service contract.

5. Project Timelines

  • Timeline Agreement: Project timelines will be agreed upon at the outset of the project. Any changes to the timeline must be mutually agreed upon.
  • Delays: The client will be promptly informed of any delays. Extensions to project timelines due to client-related delays will be negotiated accordingly.

6. Confidentiality & Data Security

  • Confidential Information: Both parties agree to keep all sensitive and confidential information secure and not to disclose it to any third party without prior consent.
  • Data Security: We take reasonable measures to protect the confidentiality and integrity of client data. However, we cannot guarantee absolute security, and the client acknowledges that some level of risk is inherent in the use of internet-based services.

7. Intellectual Property

  • Ownership: The client retains ownership of all intellectual property (IP) rights to their systems, data, and any deliverables produced during the project.
  • License: Upon payment in full, the client is granted a license to use any developed software, code, or documentation. The provider retains the right to use non-client-specific components of the work for future projects.

8. Termination

  • Termination by Client: The client may terminate the services at any time with minimal written notice of one 7 days. The client will be responsible for payment for any work completed up to the termination date.
  • Termination by Provider: We reserve the right to terminate the agreement if the client breaches any of these Terms. Any outstanding payments will be due immediately upon termination.

9. Limitation of Liability

  • No Warranty: Services are provided “as is” without any warranties of any kind, express or implied.
  • Liability Cap: Our liability is limited to the amount paid by the client for the services provided. We are not liable for any indirect, incidental, or consequential damages arising from the use of our services.

10. Governing Law

This Agreement shall be governed by and construed in accordance with the general principles of European Union law.

11. Amendments

We reserve the right to modify these Terms at any time. Clients will be notified of any significant changes. Continued use of the services after such modifications constitutes acceptance of the revised Terms.
