Mr. Exojo Cloud DevOps Services – Terms & Conditions

These Terms & Conditions (“Terms”) govern the engagement of services provided by Mr. Exojo. By entering into an agreement, the client agrees to be bound by these Terms. If the client does not agree, they should refrain from engaging the services.

1. Scope of Services

Mr. Exojo offers a range of professional services related to cloud infrastructure, automation, and DevOps practices. Specific service offerings will be outlined in individual service agreements or project scopes, which shall form part of this agreement.

2. Service Delivery

Remote Services: All services are primarily delivered remotely. Communication between Mr. Exojo and the client will take place via digital platforms such as email, video conferencing (e.g., Google Meet, Microsoft Teams), and other collaboration tools.
On-Site Services: In specific cases where on-site services are required, these can be arranged in advance. On-site visits are available only in the EMEA and MENA regions. The client will bear any travel and accommodation expenses incurred, which must be agreed upon prior to the visit.

3. Client Responsibilities

Access and Information: The client is required to provide all necessary information, access credentials, and permissions that may be needed for the timely execution of services.
Timely Collaboration: Prompt feedback and approvals from the client are essential to avoid delays in project timelines.
Confidentiality: The client agrees to safeguard the confidentiality of shared systems, data, and communications. Both parties commit to the responsible handling of any sensitive information exchanged during the service engagement.

4. Payment Terms

Rates and Invoicing: Payment terms, rates, and schedules will be detailed in individual contracts. Invoices will be issued either upon completion of pre-defined milestones or on a monthly basis, depending on the project duration and scope.
Payment Methods: Accepted payment methods include bank transfer, PayPal, or any alternative method agreed upon in writing.
Long-Term Collaborations (6 Months or More): For engagements lasting six months or longer, payments will be invoiced on a monthly basis, with payment due within 5 days of the start of the following month.
Advance Payment for New Clients (Short Collaborations): For new clients with a fixed-price project or short-term collaboration, a 40% upfront payment is required the day before the commencement of services. The remaining 60% is due within 15 days after the completion of services.
Late Payments: Any payments not received by the agreed-upon deadline will be subject to a late % fee, as outlined in the specific contract for services.

5. Project Timelines

Agreed Schedules: Timelines for deliverables and project completion will be determined at the start of the project and must be adhered to by both parties.
Client-Driven Delays: Any delays attributable to the client, such as lack of information or delayed feedback, may require an adjustment to the agreed timeline.
Notification of Delays: If any delays arise during service delivery, Mr. Exojo will promptly notify the client and propose revised deadlines.

6. Confidentiality & Data Protection

Confidentiality Obligations: Both Mr. Exojo and the client are obligated to maintain the confidentiality of any proprietary information disclosed during the course of the project. This includes but is not limited to business practices, system credentials, and project documentation.
Data Security: Mr. Exojo takes reasonable measures to protect the client’s data. However, the client acknowledges that no method of transmission over the internet or electronic storage is fully secure, and some risk may be inherent in digital communications.

7. Intellectual Property Rights

Ownership: The client retains full ownership of their existing intellectual property, as well as any systems or data developed specifically for them during the project.
License to Use: Upon full payment of the agreed fees, the client is granted a license to use any deliverables created by Mr. Exojo. Mr. Exojo retains the right to reuse non-client-specific methodologies or general knowledge obtained during the course of the project for future engagements.

8. Termination

Termination by Client: The client may terminate this agreement at any time with a minimum of 7 days’ written notice. The client will be liable for payment of all work completed up to the termination date.
Termination by Mr. Exojo: Mr. Exojo reserves the right to terminate the contract if the client breaches any of the Terms outlined herein. In the event of termination, any outstanding payments become immediately due.

9. Limitation of Liability

No Warranties: Services are provided on an “as is” basis without any warranties, express or implied.
Liability Cap: Mr. Exojo’s liability is limited to the total amount paid by the client for services rendered. Neither party will be liable for any indirect, incidental, or consequential damages arising from the service engagement.

10. Dispute Resolution

Any disputes that arise in connection with this agreement will be resolved through negotiation in good faith. Should the parties be unable to resolve the dispute through discussion, the matter will be subject to arbitration in accordance with applicable EU laws.

11. Governing Law

This agreement is governed by and shall be construed in accordance with the laws of the European Union. Any legal claims or disputes will be resolved under these governing laws.

12. Amendments

Mr. Exojo reserves the right to modify these Terms & Conditions at any time. Significant changes will be communicated to clients directly. Continued use of services following such modifications constitutes acceptance of the revised Terms.

13. Force Majeure

Neither party shall be held liable for any delays or failures to perform due to causes beyond their reasonable control, including but not limited to acts of God, war, cyberattacks, labor strikes, or regulatory changes.
